By installing, accessing, or using the Memdex browser extension or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.
If you are under 13 years of age, you may not use the Service. If you are between 13 and 18 years old, you may only use the Service with the consent of a parent or legal guardian, and that parent or guardian must agree to these Terms on your behalf.
Memdex is a browser extension that allows you to save AI conversations from platforms such as ChatGPT, Claude, Gemini, Perplexity, and Grok; extract key information into reusable memories; and receive contextual memory suggestions while writing. Most processing takes place locally on your device. Certain features, such as AI-assisted memory extraction, may use a cloud-based model operated by NOWGIC LTD.
Memdex offers both free and paid subscription plans ("Freemium Model"). Free-tier users have access to core functionality with certain feature or usage limits. Paid plans unlock additional capabilities and are billed on a recurring subscription basis as described at the time of purchase.
By subscribing to a paid plan, you authorise NOWGIC LTD to charge the applicable fees to your chosen payment method. All fees are stated inclusive or exclusive of applicable taxes as indicated at checkout. NOWGIC LTD reserves the right to modify pricing upon reasonable notice; any price change will take effect at the start of your next billing cycle following the notice.
You retain full ownership of all memories, conversation excerpts, notes, and other content you create or store through the Service ("Your Content"). NOWGIC LTD does not claim any ownership interest in Your Content.
By using the Service, you grant NOWGIC LTD a limited, non-exclusive, royalty-free licence to process, display, and temporarily cache Your Content solely to the extent necessary to operate, maintain, and provide the Service to you (for example, to run cloud-based memory extraction). This licence terminates when you delete Your Content or cease using the Service.
Because Memdex stores data locally on your device, you are responsible for maintaining your own backups. NOWGIC LTD is not liable for any loss of locally stored data.
The Memdex name, logo, brand assets, extension code, user interface design, documentation, and all related intellectual property are and remain the exclusive property of NOWGIC LTD. Nothing in these Terms grants you any right, title, or interest in these assets beyond the limited right to use the Service as described herein.
You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works from any part of the Service without prior written consent from NOWGIC LTD.
You agree not to use the Service to:
Memdex integrates with third-party AI platforms (including but not limited to ChatGPT, Claude, Gemini, Perplexity, and Grok). When you choose to connect to or interact with these services through Memdex, your use is also subject to those third parties' own terms of service and privacy policies.
NOWGIC LTD does not control, endorse, or assume any responsibility for the availability, accuracy, or content of any third-party service. We are not liable for any loss or damage arising from your reliance on or interaction with third-party services.
The Memdex extension is distributed through the Google Chrome Web Store. Your use of the Chrome Web Store and the Chrome browser is subject to Google's applicable terms and policies. In the event of any conflict between these Terms and Google's Chrome Web Store Developer Program Policies, Google's policies shall prevail to the extent required.
By you. You may stop using the Service at any time by uninstalling the Memdex extension. All locally stored data remains on your device and under your control. If you have an active paid subscription, please cancel it through your account settings or by contacting contact@memdex.ai before the next billing cycle to avoid further charges.
By us. NOWGIC LTD may suspend or terminate your access to the cloud-based components of the Service if we reasonably believe you have materially breached these Terms, engaged in activity that is fraudulent or harmful, or if continued provision of the Service to you would expose NOWGIC LTD to legal liability. Where practicable, we will provide notice and an opportunity to remedy the breach before termination.
Effect of termination. Upon termination, your right to use the cloud-based features of the Service ceases immediately. Your locally stored memories and data will remain on your device and will not be affected by termination. Any accrued payment obligations survive termination. If your account is terminated by NOWGIC LTD for cause, no refund will be provided for any remaining subscription period.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. NOWGIC LTD specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content processed through the Service will be accurate or reliable.
To the maximum extent permitted by applicable law, in no event shall NOWGIC LTD, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Service.
NOWGIC LTD's total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the total amount you have paid to NOWGIC LTD for the Service during the twenty-four (24) months immediately preceding the event giving rise to the claim, or fifty pounds sterling (£50), whichever is greater.
Nothing in these Terms excludes or limits liability that cannot be lawfully excluded under English law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
The Service may be subject to export control and sanctions laws of the United Kingdom, the European Union, the United States, and other applicable jurisdictions. You agree that you will not use, export, re-export, or otherwise transfer the Service in violation of any such laws or regulations.
Without limiting the foregoing, you represent and warrant that you are not located in, and are not a national or resident of, any country subject to comprehensive trade sanctions imposed by the UK, EU, or US, and that you are not listed on any applicable restricted-party list (including but not limited to the UK Sanctions List, the EU Consolidated List, or the US SDN List).
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.
Informal resolution first. Before initiating any formal proceedings, you agree to contact us at contact@memdex.ai describing the dispute in detail. Both parties shall use good-faith efforts to resolve the matter informally within thirty (30) days of the initial notice.
Mediation. If the dispute is not resolved informally, either party may refer it to mediation administered under the rules of the Centre for Effective Dispute Resolution (CEDR) in London. Both parties shall participate in the mediation in good faith before pursuing any court proceedings.
Courts. If mediation does not resolve the dispute, the courts of England and Wales shall have exclusive jurisdiction.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and NOWGIC LTD regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Failure by NOWGIC LTD to enforce any right or provision shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. NOWGIC LTD may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Notices. We may provide notices to you through the extension, the Chrome Web Store listing, or the email address associated with your account (if applicable).
We may update these Terms from time to time. Material changes will be communicated through the extension or the Chrome Web Store listing at least fourteen (14) days before they take effect. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes.
